TERMS AND CONDITIONS FOR SUBMISSIONS

This website is managed and operated by Yash Raj Films Private Limited (Company, we, us, our, YRF). By submitting any materials(s) and/or other written material(s) for the Company’s evaluation (Material(s)) on this website (Platform) you agree to be governed by these Terms and Conditions (Terms), as well as the Legal Disclaimer accessible at https://www.yashrajfilms.com/legal-disclaimer, the Terms of Use accessible at https://www.yashrajfilms.com/terms-of-use, the Privacy Policy of the Company accessible at https://www.yashrajfilms.com/privacy-policy, and YRF’s prevention of sexual harassment policy accessible at https://www.yashrajfilms.com/posh (collectively, YRF Policies). You should carefully go through the Terms and the YRF Policies before you submit any Material(s) on the Platform.

1. Submission and Review:
   
   
   1. The Material(s) being submitted by you is / are original and unpublished works. You are the sole and exclusive unencumbered owner and/or controller of the Material(s), all parts thereof, and all rights therein, for the whole world and in perpetuity. In the event any third-party has any rights in and to the Material(s), or any part thereof, you have appropriately notified YRF, in writing, of the same.
   2. You have voluntarily submitted the Material(s) with the intention of allowing YRF to review and evaluate the Material(s), in order to enable YRF to determine whether YRF wishes to acquire all or parts of the Material(s), for any present or future business of YRF.
      
   3. You unequivocally confirm that the Material(s), or any part thereof, has / have not been submitted to any third-party for review or evaluation. If the Material(s) (or any part thereof) has/ have been disclosed and/or submitted to any third-party for any reason whatsoever (including for the purpose of review or evaluation), you expressly confirm that such third-party has: (a) rejected the Material(s); (b) not agreed to greenlight the Material(s) for further development; and/or (c) not acquired the Material(s), any parts thereof, or any rights therein. Further, during the Evaluation Period (defined below), you agree not to submit the Material(s), or any part thereof, to any third-party, nor grant, transfer, or otherwise dispose of any rights in and to the Material(s), or any part thereof, to any third-party.
      
   4. You shall not be entitled to any compensation from YRF, unless YRF decides to use, exploit, and/or develop the Material(s), with or without changes, at the sole discretion of YRF. In such event, you will receive communication from an authorized representative of YRF. It is, however, clarified that YRF shall be under no obligation to acquire and/or develop and/or use and/or otherwise exploit the Material(s) and/or any part thereof, in any manner whatsoever.
      
   5. It is clarified that the Material(s) submitted hereunder will be evaluated by YRF only after you have accepted these Terms and the YRF Policies.
      


2. Timeline and Return of Material(s):
   
   
   1. You agree that YRF shall have the right to review the Material(s) (whether in whole or in part) for a period of 90 (ninety) days from the date of the submission of the Material(s) (“Evaluation Period”).
   2. You understand and agree that in case you do not receive any intimation from YRF after the expiry of the Evaluation Period, the Material(s) will be deemed to have been rejected. YRF shall not be obligated to notify you of such rejection or to return the Material(s) to you.
   3. You confirm that you have retained at least 1 (one) copy of the Material(s), and you release YRF from any and all liability for loss or other damage to the copies of Material(s) submitted hereunder.
   4. In the event YRF decides to pursue the Material(s) and/or any part thereof, in any manner and/or for any purpose, and the same is expressly communicated to you in writing by YRF, then it shall not construe a commitment from YRF to further develop and/or produce the Material(s) (or any part thereof) until YRF executes the relevant documentation with you capturing the relevant commercial understanding, and terms and conditions.


3. Representations and Warranties:
   
   You represent and warrant that: (i) you have the sole and exclusive authority to submit the Material(s) and all elements thereof to YRF, (ii) the Material(s) submitted hereunder is/are original and is/are not plagiarized and does not and shall not infringe/violate any copyright, proprietary rights, or any other rights of any third-party, whether dead or living, (iii) no third-party has any rights, title, or interest in and to the Material(s) and/or any part thereof, and (iv) by submitting the Material(s) to YRF for its evaluation, you are not in conflict/breach of any confidentiality obligations. In the event any third-party material / content (or any part thereof) has been utilized / adapted / used in the Material(s), and/or in the event any third-party has any rights and/or interest in and to the Material(s) and/or any part thereof, the same shall be expressly disclosed to YRF in the prescribed format.


4. No Fiduciary or Confidential Relationship:
   
   You understand and acknowledge that YRF shall not be obligated in any manner whatsoever to accept and/or evaluate the Material(s). You further acknowledge that no fiduciary or confidential relationship exists between YRF and you, and that no such relationships are established between YRF and you by reason of your submission of the Materials(s), your acceptance of these Terms and the YRF Policies, or otherwise.


5. Similarity to Other Material:
   
   You acknowledge that YRF is a prominent and a well reputed production company in the entertainment industry and YRF/its associates/employees constantly create(s), receive(s), develop(s), and/or otherwise acquire(s) materials and/or elements, including but not limited to, submissions, that may be similar or identical to the Material(s) or any parts/ elements thereof. In the event there are any similarities or elements of similarities between the Material(s) or any part/ element thereof and such other materials submitted to and/or developed by YRF, you shall not be entitled to: (a) any compensation/ fee/ consideration (in any form or manner) from YRF in relation to any parts/ elements that are similar or identical to the Material(s) or any parts/ elements thereof; and/or (b) seek to enforce any other right or action against YRF including any claims for damages, losses, etc., and/or (c) seek to enforce any orders against YRF in relation to the materials and/or any audio-visual content developed by YRF which is similar or identical to the Material(s) or any parts/ elements thereof.


6. Indemnity:
   
   You hereby agree to defend, indemnify, and keep indemnified YRF, it affiliates, and its and its affiliates’ officers, directors, employees, agents, and representatives, from and against any and all actions, claims (including third-party claims), liabilities, notices, losses, damages, costs, and expenses, arising from or related to the Material(s) and/or any part thereof, including the use thereof by YRF, and/or any breach of any of your undertakings, representations, warranties, and obligations herein.


7. Governing Law and Jurisdiction:
   
   These Terms shall be governed by and construed in accordance with the laws of India, and the courts in Mumbai alone shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms.
